Restrictions on the Transferability of Offered Securities

The Companys shares shall be freely transferable, provided that the total number of shares held by foreigners at any given time shall not exceed 49 percent of the total issued shares. The Company is entitled to reject the transfer of any shares that would cause the proportion of foreign shareholding to exceed the aforesaid limit.

The transfer of the Companys shares shall be complete when the transferor endorses the share certificate, specifying the name of the transferee, and both the transferor and transferee affix their signatures, and the said share certificate has been delivered to the transferee.

Such share transfer shall be enforceable against the Company only when the Company receives the request to register the share transfer, and it shall be enforceable against third parties only when the Company has duly registered the share transfer.

If the Company deems the share transfer to be legally correct, the Company shall register the share transfer within 14 days from the date of receiving the request. If the share transfer is incomplete or incorrect, the Company shall notify the requester within 7 days.

The transfer of shares traded on the Stock Exchange of Thailand (SET) shall comply with the laws governing securities and the stock exchange.

Dividend Payment Policy

The Company has a policy to pay dividends to shareholders at a rate of not less than 40 percent of the net profit of the Company's separate financial statements, after deducting corporate tax, the legal reserve fund, and other reserve funds (if any).

However, the dividend payment may be subject to change, depending on the Companys operating performance, financial position, liquidity, business expansion, necessity for working capital, future investment and business expansion plans, market conditions, suitability, and other factors related to the Companys operations and management. This is provided that the Company must have sufficient cash for business operations, and such action must be most beneficial to the shareholders, as deemed appropriate by the Board of Directors and/or the shareholders of the Company.

The resolution of the Board of Directors approving the dividend payment must be submitted for approval at the Shareholders' Meeting, except in the case of an interim dividend payment, which the Board of Directors has the authority to approve and subsequently report to the Shareholders' Meeting at the next occasion.
